Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ambient Studio (“Ambient Studio,” “we,” “us,” or “our”), including our website, application, creative tools, AI-assisted features, subscriptions, credits, uploads, generated content, and related services.

By creating an account, purchasing a subscription, or using Ambient Studio, you agree to these Terms.

1. The Service

Ambient Studio is an AI-assisted creative workspace designed to help users create, organize, edit, arrange, brand, sketch, and export visual and related creative content. Features may be added, removed, changed, limited, or reorganized as Ambient Studio develops.

2. Beta Services

Ambient Studio may be offered in private beta, public beta, early-access, preview, or similar pre-release stages. During beta periods, features may change frequently, functionality may be incomplete, bugs or interruptions may occur, limits and pricing may change, supported AI models may change, and stored project formats may evolve.

Where practical, we will attempt to avoid unnecessary loss of user-created data, but beta users should maintain copies of important files and exports.

3. Accounts

You agree to provide accurate information, maintain control of your authentication method, protect access to your account, notify us of suspected unauthorized access, and avoid sharing account access in ways that circumvent account limits.

4. Free and Paid Accounts

Ambient Studio may offer free accounts, paid subscriptions, beta or founding-member plans, credit packs, promotional access, trial access, and other account tiers. Features, limits, available AI models, generation allowances, storage, export capabilities, and other entitlements may differ between plans.

5. Subscriptions

Paid subscriptions may renew automatically unless canceled. Subscription details, including price, billing frequency, included features, usage allowances, and renewal terms, will be shown during checkout or within applicable pricing information.

6. Cancellation

You may cancel a subscription through available account or billing-management tools. Cancellation normally prevents future renewals but does not automatically erase your account or previously generated content. Unless otherwise required by law or specifically stated, cancellation does not create a refund for a partially used billing period.

7. Refunds

Except where required by applicable law or explicitly stated otherwise, subscription and credit purchases may be non-refundable after purchase or use. We may provide refunds, service credits, or other remedies at our discretion for duplicate charges, billing errors, substantial service failures, or other exceptional circumstances.

8. Credits and Usage Allowances

Ambient Studio may use an internal credit or usage system for image generation, premium image generation, future video generation, AI-assisted processing, and other compute-intensive features. Different operations may consume different amounts of credits.

Subscription credits may refresh daily, monthly, or by billing cycle and may not roll over unless specifically stated. Separately purchased credit packs may have different expiration or rollover rules, which will be disclosed when purchased. Credits have no cash value and are not currency.

9. AI Providers and Models

Available AI providers or models may vary by account tier, feature, provider availability, pricing, technical requirements, geographic restrictions, and safety considerations. Users may not always be permitted to select specific underlying provider models.

10. AI Output

AI-generated content may be inaccurate, incomplete, unexpected, similar to content generated for other users, unsuitable for a particular purpose, or affected by provider limitations. You are responsible for reviewing output before using, publishing, selling, or relying on it.

11. User Content

You retain ownership of content you upload, subject to any rights held by others. You grant Ambient Studio a limited license to host, copy, transmit, process, modify, and display your content only as reasonably necessary to provide requested features, save projects, perform technical processing, maintain and secure the service, and provide support.

12. Generated Content and Ownership

To the extent permitted by applicable law and subject to third-party provider terms, Ambient Studio does not claim ownership of content generated specifically for you through your use of the service. Copyright protection for AI-generated material may vary by jurisdiction, and similar or identical output may be generated for others.

13. Prohibited Uses

• Violating applicable law.
• Infringing intellectual-property rights.
• Distributing malware or compromising accounts or systems.
• Bypassing subscription, credit, rate, or model-access limits.
• Obtaining unauthorized access to another user's content.
• Using stolen payment information or engaging in fraud.
• Scraping or abusing the service at unreasonable scale.

14. API and Model Abuse

You may not attempt to discover provider API keys, directly call protected backend provider endpoints without authorization, alter requests to access unauthorized models, bypass server-side usage enforcement, evade rate limits or credit deductions, automate account creation for free credits, or exploit pricing or credit systems.

15. Uploads and Storage

Ambient Studio may impose limits on file size, file type, storage quantity, project quantity, retention, and account-tier storage. You should retain independent copies of important source files and exports. Ambient Studio is not intended to serve as your sole archival or backup system.

16. Saved Boards, Projects, and Local Data

Creative information may be stored in your Ambient Studio account, browser local storage, temporary application state, or cloud storage depending on the feature. Clearing browser storage or changing devices may remove locally stored content that has not been synchronized.

17. Third-Party Services

Ambient Studio relies on services that may include Supabase, Google, Resend, Stripe, hosting providers, OpenAI, Google AI services, Groq, Anthropic, Runway, and other providers. We are not responsible for outages, policy changes, model changes, or service interruptions caused by third parties.

18. Availability

We aim to keep Ambient Studio available and reliable, but we do not guarantee uninterrupted service. Maintenance, software bugs, infrastructure failures, provider outages, security incidents, internet problems, third-party API failures, or other events may affect availability.

19. Changes to the Service

We may change features, interfaces, workflows, providers, account limits, storage, credits, or pricing for future billing periods to improve, secure, expand, or maintain the product.

20. Account Suspension and Termination

We may suspend, restrict, or terminate access where reasonably necessary because of violations of these Terms, fraud, abuse, security risk, unlawful activity, unpaid charges, chargeback abuse, or threats to service integrity.

21. Intellectual Property

Ambient Studio's software, branding, interface, original documentation, product design, and other proprietary materials belong to Ambient Studio or its licensors. These Terms do not grant permission to copy, redistribute, reverse-engineer, or commercially exploit Ambient Studio itself except as permitted by law.

22. Feedback

If you voluntarily provide feedback, suggestions, ideas, or feature requests, you allow us to use that feedback to improve Ambient Studio without compensation or obligation. This does not give us ownership of your unrelated creative work or uploaded content.

23. Disclaimers

Ambient Studio is provided on an “as is” and “as available” basis to the extent permitted by law. We do not guarantee uninterrupted availability, specific AI outputs, business results, income, audience growth, legal ownership of AI-generated material, compatibility with every device or service, or preservation of every beta feature.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Ambient Studio and its owners, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the service. Where liability cannot legally be excluded, liability will be limited to the maximum extent permitted by law.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Ambient Studio and its owners from claims arising from content you upload, your unlawful use of the service, your violation of these Terms, or your infringement of another person's rights.

26. Governing Law

These Terms will be governed by the laws applicable to Ambient Studio's principal place of business, without regard to conflict-of-law principles, except where consumer-protection law requires otherwise. The specific governing jurisdiction may be identified before paid public launch.

27. Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated through the service, by email, or by updating the effective date.
